1. Acceptance of Terms

By downloading, installing, or using the Duuly application or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and the operator of Duuly ("we", "us", or "our").

We reserve the right to modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Service

Duuly is a productivity application for managing tasks and shopping lists. The Service is provided "as is" and is currently in beta development. Features may change, be added, or be removed without prior notice.

3. Beta Service Disclaimer

THE SERVICE IS CURRENTLY IN BETA AND IS PROVIDED FOR TESTING PURPOSES. You acknowledge that the Service may contain bugs, errors, and other problems that could cause system failures, data loss, or other issues. You agree to use the Service at your own risk.

We make no guarantees about the availability, reliability, or functionality of the Service during the beta period or at any time thereafter.

4. Eligibility

You must be at least 13 years of age to use this Service. By using the Service, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

5. Account Registration

To use certain features of the Service, you must create an account using a valid email address. You are responsible for:

• Maintaining the confidentiality of your account
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Providing accurate and complete information

We reserve the right to suspend or terminate your account at any time, for any reason, without notice or liability.

6. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful content
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Use the Service to send spam or unsolicited communications
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems to access the Service without permission
• Resell, redistribute, or sublicense the Service

7. User Content

You retain ownership of content you create in Duuly (tasks, items, notes). By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to store, process, and display your content solely as necessary to provide the Service.

You are solely responsible for your content. Do not store sensitive information such as passwords, financial account numbers, social security numbers, or other confidential data in Duuly.

8. Intellectual Property

The Service and its original content (excluding user content), features, and functionality are and will remain the exclusive property of the operator. The Service is protected by copyright, trademark, and other laws.

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE OPERATOR, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE LAST SIX (6) MONTHS, OR, IF GREATER, ONE HUNDRED DOLLARS ($100).

CRITICAL SAFETY NOTICE: Duuly is a productivity tool, not a safety-critical system. DO NOT rely on Duuly for medical reminders, medication schedules, emergency alerts, childcare reminders, or any other time-sensitive notifications where failure could result in injury, harm, or death. We expressly disclaim all liability for any harm arising from reliance on the Service for safety-critical purposes.

11. Indemnification

You agree to defend, indemnify, and hold harmless the operator and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

12. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

CLASS ACTION WAIVER: YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

The arbitration will be conducted by a single arbitrator under the rules of the American Arbitration Association. The arbitration shall take place in King County, Washington, unless you and we agree otherwise.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in King County, Washington.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by deleting your account through the Settings screen in the app. All provisions of the Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Third-Party Services

The Service may contain links to or integrate with third-party websites or services (such as Apple Maps). We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such third-party services.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and us regarding your use of the Service and supersede all prior and contemporaneous written or oral agreements.
